1. Scope of Application
These Terms of Use ("ToU") apply to the provision and use of Meli's Voice AI-Powered Product Tour Software (hereinafter referred to as "Software") by Meli (hereinafter referred to as "Meli"). The Software is a SaaS application for creating and implementing AI-powered voice tooltips for product tours.
2. Conclusion of Contract
To access the Service, users must complete the signup process, accepting the current versions of Meli's ToU and privacy policy. Upon completion, a contract (the "Contract") is concluded between the user (the "Customer") and Meli.
3. Scope of Services
The Software is a SaaS application for creating and implementing AI-powered voice tooltips for product tours (the "Contract Purpose"). Meli may offer free plans ("Free Plan") and paid plans ("Paid Plan") for the subscription to the Service.
4. Use of the Software
The Customer may only use the Software for the contractually agreed purpose. The Customer is responsible for the content of the tooltips and voice recordings, ensuring they comply with applicable laws and do not infringe on third-party rights.
5. Availability
Meli strives to provide high availability of the Software. For Paid Plans, Meli shall owe an Availability of at least 99% in the Contract's yearly average. Meli is not responsible for issues beyond its control, such as internet connectivity problems on the Customer's side.
6. Software Updates
Meli reserves the right to regularly update the Software to improve functionality and introduce new features. Customers will be notified of any material changes that may affect the use of the Software.
7. Content and AI Voice Generation
The Customer is solely responsible for the content of the tooltips and the appropriateness of the AI-generated voice content. Meli reserves the right to remove any content that violates these ToU or applicable laws.
8. Compensation and Payment
The compensation for the use of the Software and the respective terms of payment shall be based on the Pricing Page shown to the Customer during the purchase process.
9. Intellectual Property
Meli retains all rights to the Software. The Customer is granted a non-exclusive, non-transferable right to use the Software for the duration of the Contract.
10. Data Protection and Security
Meli will process personal data in accordance with its privacy policy and applicable data protection laws. The Customer is responsible for ensuring the security of their account credentials.
11. Limitation of Liability
Meli's liability shall be limited to cases of intent and gross negligence, except in cases of injury to life, body, or health.
12. Term and Termination
The Contract term depends on the selected plan. Either party may terminate the Contract for good cause. Upon termination, the Customer's access to the Software will be revoked.
